We are delighted to have advised on the acquisition of NBC Environment Limited by Rollins. This represents the continued investment by Rollins into the UK pest control market to further strengthen and enhance their geographical position in this key market. NBC Environment have grown considerably over the past three years and look to continue this trajectory as part of the wider Rollins Group.
Who are the firms involved?
NBC Environment are a national pest control provider specialising in bird control and ethical solutions to wildlife risks across the UK. They work with their corporate clients to ensure that the services provided are not just in keeping with the latest legislation but also that the sustainability and brand image of their clients is maintained.
Rollins are a global consumer and commercial pest control specialists servicing over 70 countries through its leading brands including Orkin, HomeTeam Pest Defense, Clark Pest Control, Northwest Exterminating, McCall Service, Trutech, Critter Control, Western Pest Services, Waltham Services and many more.
What we liked about this deal and the challenges addressed
NBC has seen significant growth across each of its key service offerings, therefore the focus of our work was to ensure that this was maintainable and resulted in positive cashflows for the business. We really enjoyed supporting Matthew Whiting (Vice President of Corporate Development at Rollins) and his team in highlighting the risks and protections needed for Rollins to complete under an accelerated timeline. It was also a pleasure to work closely with their legal team Sarah Carlton, Hollie Allen and Richie Clark at Fox Williams.
This deal has seen our team build upon our cross-border deal experience and meet the challenges that emerge as a result. Across our M&A and transaction services teams, we are seeing more and more acquisitive US companies looking to enter the UK market.
